All wholesale orders with Rustic Rose & Flame are subject to approval, product availability, and these Wholesale Terms of Service. By submitting a wholesale order or purchasing products from Rustic Rose & Flame, the buyer acknowledges that they have read, understood, and agreed to these Terms.

Product Variations

Due to the handcrafted nature of our products, including our natural coconut and beeswax blend candles, slight variations in color, fragrance, appearance, texture, and finish may occur. These natural variations are inherent to handmade products and are not considered defects.

Order Submission & Acceptance

Wholesale orders may be submitted through our wholesale website, order form, email, or other approved ordering method. Submission of an order does not guarantee acceptance. Orders are considered accepted once confirmed by Rustic Rose & Flame.

We reserve the right to decline, modify, or cancel an order due to product availability, pricing errors, incomplete or inaccurate information, or circumstances that prevent us from fulfilling the order.

Minimum Order Requirements

Wholesale orders are subject to applicable minimum order quantities (MOQs), minimum purchase requirements, and other ordering requirements listed on our wholesale website, order form, or applicable wholesale agreement.

Order Processing & Lead Time

All products are handcrafted and prepared in small batches. Standard lead time is approximately 5–14 business days, depending on order size, product availability, seasonal volume, and current production schedules.

Lead times begin once all required order information has been received and the order has been approved and payment requirements have been satisfied.

Payment

Payment is due at the time of invoicing unless otherwise agreed upon in writing.

Orders may not be released for production or shipment until required payment has been received and processed.

Pricing

Wholesale pricing is subject to change without notice. Pricing provided at the time an order is accepted will apply unless otherwise agreed upon in writing.

Rustic Rose & Flame reserves the right to correct pricing or product information errors and, when necessary, cancel or revise an affected order.

Order Changes & Cancellations

Requests to change or cancel an order must be submitted in writing and are subject to approval. Once an order has entered production, been customized, or been prepared for shipment, changes or cancellations may not be possible.

Custom, private-label, personalized, or specially produced orders may be subject to additional restrictions and may not be eligible for cancellation once production has begun.

Shipping & Delivery

Orders ship from Texas. Shipping charges and applicable delivery terms will be provided at the time of order.

Rustic Rose & Flame is not responsible for carrier delays, weather, natural disasters, or other circumstances beyond our reasonable control.

Risk of loss for shipped orders transfers to the buyer upon delivery of the order to the carrier, except as otherwise required by applicable law or agreed upon in writing.

Damages, Defects & Incorrect Items

Wholesale orders should be inspected promptly upon delivery. Damaged, defective, or incorrect items must be reported to Rustic Rose & Flame within five (5) business days of delivery and must include photographs of the affected products and packaging.

Failure to report an issue within this timeframe may limit our ability to investigate or resolve the claim.

Approved claims may be resolved through replacement, credit, refund, or another remedy determined by Rustic Rose & Flame.

Returns

Wholesale orders are final sale and are not eligible for return or exchange except for products that arrive damaged, defective, or incorrect, or when otherwise approved in writing by Rustic Rose & Flame.

Unauthorized returns may not be accepted or credited.

Storage & Product Care

Retailers are responsible for properly storing and displaying all Rustic Rose & Flame products after delivery.

Candles and other products should be stored in a cool, dry place away from excessive heat, direct sunlight, moisture, and other conditions that may affect product quality or performance.

Retailers are responsible for following all product-specific storage and handling recommendations provided by Rustic Rose & Flame.

Retailer Responsibilities

Wholesale customers are responsible for properly storing, displaying, marketing, and selling Rustic Rose & Flame products after delivery.

Products must be used and displayed according to the safety and product-use instructions provided by Rustic Rose & Flame.

Retailers may not alter, modify, refill, repackage, relabel, or otherwise change Rustic Rose & Flame products without prior written authorization, except as expressly permitted under a separate private-label agreement.

Product Safety & Use

Candles, room/linen sprays, car diffusers, and other products are intended only for their stated use and must be used according to the applicable product instructions and safety warnings.

Retailers are responsible for ensuring that customers receive applicable safety and product-use information supplied with the products.

Rustic Rose & Flame is not responsible for damage, injury, loss, or other consequences resulting from misuse, improper storage, improper handling, unauthorized modification, or failure to follow provided safety instructions.

Our products are not intended to diagnose, treat, cure, or prevent any medical condition.

Branding & Intellectual Property

All Rustic Rose & Flame names, logos, trademarks, product descriptions, photographs, designs, written content, and other brand materials remain the property of Rustic Rose & Flame unless otherwise agreed in writing.

Wholesale customers may use approved Rustic Rose & Flame product information and marketing materials solely for the purpose of promoting and selling authorized Rustic Rose & Flame products.

No other reproduction, modification, distribution, or commercial use is permitted without prior written authorization.

Private Label & Custom Orders

Private-label, custom, or personalized orders are subject to separate written terms and may include additional requirements relating to minimum quantities, artwork, labeling, packaging, production timelines, approvals, pricing, and intellectual property.

Private-label or custom orders may not be cancelled or returned once production has begun unless otherwise agreed upon in writing.

Product Availability

Because our products are handcrafted in small batches, certain fragrances, vessels, packaging, and other components may occasionally become unavailable or be discontinued.

If an ordered item becomes unavailable, Rustic Rose & Flame may contact the buyer regarding available alternatives, revised fulfillment timing, or an appropriate adjustment to the order.

Force Majeure

Rustic Rose & Flame is not responsible for delays or inability to fulfill an order caused by circumstances beyond our reasonable control, including but not limited to natural disasters, severe weather, fire, supply-chain disruptions, carrier interruptions, equipment failure, labor disruptions, government actions, or other unforeseen circumstances.

Limitation of Liability

To the extent permitted by applicable law, Rustic Rose & Flame shall not be responsible for indirect, incidental, special, or consequential damages arising from the purchase, resale, misuse, or inability to use our products.

Nothing in these Terms is intended to exclude or limit liability that cannot legally be excluded or limited under applicable law.

Indemnification

To the extent permitted by applicable law, the buyer agrees to be responsible for claims, losses, damages, or expenses arising from the buyer's unauthorized modification, improper storage, improper handling, misuse, resale, or use of Rustic Rose & Flame products in a manner inconsistent with provided instructions or applicable agreements.

Agreement to Terms

By submitting a wholesale order, purchasing products through our wholesale website, or otherwise placing an order with Rustic Rose & Flame, the buyer acknowledges that they have read, understood, and agreed to these Wholesale Terms of Service.

Any modifications or exceptions to these Terms must be approved in writing by Rustic Rose & Flame.

In the event of a conflict between these Terms and a separate written agreement, the separate written agreement will control to the extent of the conflict.

Governing Law

All wholesale transactions and these Wholesale Terms of Service are governed by the laws of the State of Texas, without regard to conflict-of-law principles.
